Terms of Service

1. Introduction

Welcome to Otawise Nigeria (“Otawise”, “we”, “us”, or “our”). These Terms of Service (the “Terms”) govern your access to and use of Otawise’s cloud-based business management software (the “Service”), including features and services described on our website otawise.ng. The Service offers business tools such as office and location management, time tracking, scheduling, invoicing, document storage, communication, reporting, and third-party. By registering for or using the Service, you (an individual, business, or government entity) agree to these Terms and to comply with all applicable laws. If you are accepting these Terms on behalf of another person or organisation, you represent that you have the authority to bind that entity. If you do not agree to all terms, you must not use the Service. You are responsible for all activity under your account.

2. Eligibility

The Service is available only to users who can form legally binding contracts under Nigerian law. You must be at least 18 years old, or if younger, must obtain permission from a parent or guardian. Businesses, nonprofits or government agencies may use the Service if duly incorporated or authorised under applicable law, and only individuals with authority may subscribe on their behalf. By using the Service, you represent that you meet these eligibility requirements.

3. Account Registration and Responsibilities

To use the Service, you must register an account and provide true, current, and complete information about yourself or your organisation. You are responsible for maintaining the security of your account credentials and for all activities conducted through your account. You must promptly update your information if it changes. Account Use: Access to the Service is granted only for the period covered by a valid subscription. You may not share or transfer your account credentials to others; you are fully liable for any unauthorised use. You agree that we may verify your identity or information at any time. Authorised Users: If you register on behalf of an organisation, you confirm that you have the authority to bind that organisation to these Terms. The organisation and all individuals it authorises will be bound by these Terms and treated as “you.” You shall ensure that authorised users comply with these Terms and applicable law.

4. Subscription and Payment Terms

Otawise offers the Service on a subscription basis with different plans (e.g. Starter, Business, Enterprise) billed monthly or annually. Fees: Subscription fees are denominated in Nigerian Naira and exclusive of any local taxes or duties (you are responsible for such taxes). We may change our pricing or fees, but will give notice before the change. If you do not agree to a price change, you may cancel your subscription before the next billing cycle. Fees paid are non-refundable, and we do not provide prorated refunds or credits for partial usage. Billing and Renewal: By providing payment information, you authorise us to charge your chosen payment method for the subscription fee at the start of each billing period. Unless you cancel before renewal, your subscription will automatically renew for the same term under the plan in effect. If payment fails, we may suspend or terminate your access to the Service. Support Access: Paid subscribers receive access to our knowledge base (guides and videos) and may schedule additional training (for a fee).

5. Description of Services Provided by Otawise

Otawise provides a cloud-based, mobile-accessible platform for managing business operations. Key features include:

  • Office & Location Management: Monitor multiple offices, branches or departments, with centralised reports and disbursement tracking across locations.
  • Time Tracking & Scheduling: Track employee time on tasks and projects, and manage appointments or resource bookings with built-in calendar synchronisation.
  • CRM and Billing: Manage leads, clients, contacts, invoices and payments in one place. You can integrate with third-party payment processors such as Paystack to receive client payments.
  • Task & Workflow Management: Create tasks, reminders, and project workflows; automate email notifications and messaging.
  • Document Management: Store and organise documents (e.g. contracts, images, videos) with role-based client portals and a shared branding gallery. Plans include built-in cloud storage (e.g. 250GB or more).
  • Analytics & Reporting: Generate productivity reports and performance insights.
  • Integrations: Otawise offers integration with external business tools via API. Integration with third-party services (e.g. Paystack for payments, eSignature providers, SMS gateways) is available. We make reasonable efforts to support integration, but any use of third-party services is at your own risk. Integration setup may require you to enter credentials and agree to additional terms of the third-party provider.

Otawise may introduce new features or update the software at any time. Software updates are installed by Otawise as needed to enhance security, fix bugs, or improve functionality, and you agree to receive them. The specific features and limits (e.g. number of users, storage, work-spaces) depend on your plan. More details are available on our pricing page and support materials.

6. Acceptable Use Policy

Your use of the Service must comply with all Nigerian laws and these Terms. You must not use the Service to engage in prohibited or illegal activities. Without limiting the foregoing, you agree not to:

  • Illegal or Harmful Use: Upload, store or transmit content that violates any law (e.g. copyright infringement, defamation, fraud, hate speech, child exploitation, or other illicit content). Do not use the Service to harass, stalk, abuse, or threaten others. Malicious software, viruses, hacking tools or unauthorised access attempts are strictly prohibited.
  • Security Violations: Violate or attempt to violate the security of the Service. For example, do not probe, scan or test the vulnerability of any system or network. Do not use automated means (bots, scrapers, scripts) to access or interfere with the Service.
  • Unauthorised Access: Permit any third parties to access your account or the Service except as explicitly allowed in these Terms. Do not distribute, rent, lease, sub-license or sell access to the Service or its components.
  • Intellectual Property Violations: Copy, modify or create derivative works of the Service or its components (including through reverse engineering or decompilation), except as expressly permitted by Otawise. Do not infringe Otawise’s or any third party’s patents, trademarks, trade secrets or copyrights. Uploading any content that violates another’s intellectual property rights is prohibited.
  • Spam and Misuse: Use the Service to send spam, chain letters, or unsolicited communications. Engage in fraudulent activities or attempt to mislead or manipulate other users.
  • Non-Compliance: Use the Service in a manner that violates the Nigeria Data Protection Regulation (NDPR) or other applicable privacy laws.

Otawise reserves the right to investigate and take appropriate legal action against anyone who, in Otawise’s sole discretion, violates this policy. Violation of these rules will result in immediate suspension or termination of your account.

7. Data Ownership and Privacy

Your Data. You retain all right, title and ownership interest in the data and content you upload or enter into the Service. Otawise acts as a processor of your data: we collect, store and transmit it only to provide the Service. We do not claim ownership of your data. You are solely responsible for the accuracy and legality of your data and content. Otawise does not guarantee backup copies; you should maintain your own backups or export data as needed. In the event of account termination, you will have a limited time (e.g. 30 days) to retrieve your data, after which we may delete it.

Use of Data. We may use non-identifiable aggregate data from all users to analyze usage patterns, improve the Service, and for product development. This aggregated data will not identify you or contain your confidential information. Otawise will not sell or rent your personal data to third parties.

Privacy and Security. Otawise maintains commercially reasonable administrative, technical, and physical safeguards to protect your data from unauthorised access or disclosure. We will not disclose your personal data except as compelled by law (e.g. a valid court order) or as you explicitly authorise. If we become legally compelled to disclose your data, we will notify you before doing so (to the extent permitted by law). Data Protection Compliance. We comply with the Nigeria Data Protection Regulation 2019 (NDPR) and other applicable Nigerian privacy laws. By using the Service, you consent to our collection and processing of data in accordance with these Terms and our Privacy Policy. Each party will indemnify the other for any breach of data protection laws arising from its own actions.

8. Intellectual Property Rights

Otawise and its licencors own all rights, title and interest in the Service and all related software, technology, trademarks, logos, and content (the “Otawise IP”). We grant you a limited, non-transferable license to access and use the Service for your internal business or personal purposes, subject to these Terms. Restrictions: Except as expressly authorised, you agree not to: (i) copy, reproduce or modify any portion of the Service; (ii) reverse-engineer or attempt to extract the source code of the software; (iii) use the Service to create a competing product or service; or (iv) remove or alter any proprietary notices on the Service. Otawise may collect and use anonymized usage data for legitimate business purposes (such as improving the Service) provided that it does not disclose any personal or confidential information.

All content and materials provided by Otawise through the Service (including the website content, user interfaces, graphics, and code) are protected by intellectual property laws. Except for your own data, nothing you obtain from the Service can be considered public domain or free for reuse without written permission.

9. Termination of Accounts

By You: You may cancel your subscription at any time through the account settings or by contacting support. Cancellation takes effect at the end of your current billing period; you will not receive a refund for the portion of the period you have already paid. After cancellation, you can continue using the Service until the end of that period.

By Otawise: Otawise may suspend or terminate your account (in whole or in part) and refuse any current or future use of the Service if you violate these Terms, fail to pay any amounts due, or engage in harmful conduct as described above. Otawise may also terminate accounts that are inactive or at its discretion. In case of termination due to breach or nonpayment, Otawise reserves the right to immediately restrict your access without refund.

Data Retrieval: Upon termination (for reasons other than your breach or nonpayment), Otawise will allow you to export or download your data within a reasonable time (typically 30 days). After that period, or if the termination is due to breach or nonpayment, Otawise may permanently delete your data from the Service. You agree that Otawise shall have no obligation to retain or provide your data after termination.

10. Limitation of Liability

To the maximum extent permitted by law, Otawise’s liability to you for any claim arising from or relating to the Service or these Terms is strictly limited. No Warranties: The Service is provided “as is” and “as available.” Otawise disclaims all warranties, whether express or implied, including fitness for a particular purpose or non-infringement. We do not warrant that the Service will be uninterrupted or error-free. You use the Service at your own risk. Exclusive Remedy: Your sole remedy for dissatisfaction is to discontinue use of the Service and cancel your subscription.

Cap on Liability: In any event, Otawise’s total liability arising out of or relating to your use of the Service or these Terms shall not exceed the subscription fees you actually paid for the Service during the twelve (12) months preceding the claim. Under no circumstances will Otawise be liable for any indirect, incidental, consequential, punitive or special damages (including loss of business, revenue, profits, goodwill, data or use) even if advised of the possibility of such damages. For claims by third parties arising from Otawise’s negligence, Otawise shall indemnify you for such claims up to the cap described above.

User Responsibilities: You are responsible for your use of the Service. Otawise is not liable for outcomes of decisions you make based on the Service. To the extent not prohibited by law, Otawise will not be liable for damages caused by events beyond its control (e.g. internet outages, power failures, force majeure). You acknowledge and agree that any support updates or changes Otawise provides (for security or functionality) are necessary for the Service to operate, and you agree to receive such updates. Otawise disclaims all responsibility for how you configure or use the Service in your operations.

11. Indemnification

You agree to defend, indemnify and hold harmless Otawise, its officers, directors, employees and agents from any claims, liabilities, losses or expenses (including reasonable attorney’s fees) arising out of or related to: (i) your violation of these Terms; (ii) your use or misuse of the Service; (iii) your violation of any law or the rights of any third party (including privacy, publicity or intellectual property rights); and (iv) any content you contribute to the Service. You also indemnify Otawise against claims resulting from actions or omissions by those accessing the Service under your account. Otawise will notify you promptly of any claim and cooperate in its defence. Note: Each party shall also indemnify the other for any breach of data privacy laws as required by law.

12. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any dispute arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the Nigerian courts, Lagos State in particular. You agree that any legal action or proceeding between you and Otawise shall be brought in the courts of Lagos State, Nigeria. Both parties waive any objections to venue or arbitration in this jurisdiction.

13. Changes to Terms

Otawise may modify these Terms at any time (for example, to reflect changes in features, regulations, or business practices). If we make material changes, we will notify you by email or through the Service at least 30 days before the change becomes effective. You are responsible for reviewing these Terms periodically. Your continued use of the Service after the changes take effect constitutes your acceptance of the new Terms. If you do not agree to any updated terms, you must stop using the Service and can terminate your subscription.
